By displaying Your Content, you grant Automathing a non-exclusive, worldwide irrevocable, sub licensable license to use, reproduce, adapt, publish, translate and distribute it in any and all media.
Your Content must be your own and must not be invading any third-party's rights. Automathing reserves the right to remove any of Your Content from this Website at any time without notice.


No warranties

This Website is provided “as is,” with all faults, and Automathing express no representations or warranties, of any kind related to this Website or the materials contained on this Website. Also, nothing contained on this Website shall be interpreted as advising you.


Limitation of liability

In no event shall Automathing, nor any of its officers, directors and employees, shall be held liable for anything arising out of or in any way connected with your use of this Website whether such liability is under contract. Automathing, including its officers, directors and employees shall not be held liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website.


Indemnification

You hereby indemnify to the fullest extent Automathing from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these Terms.


Severability

If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.


Variation of Terms

Automathing is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review these Terms on a regular basis.


Sales

  1. The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.
  2. Our invoices are payable within 21 working days, unless another payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, Automathing reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. Automathing will be authorized to suspend any provision of services without prior warning in the event of late payment.
  3. If a payment is still outstanding more than sixty (60) days after the due payment date, Automathing reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.
  4. Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can Automathing become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to Automathing in its entirety and does not include any costs relating to the legislation of the country in which the client is located.
  5. Automathing undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. Automathing cannot under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.
  6. In order for it to be admissible, Automathing must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services.

Assignment

The Automathing is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.


Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of Canada, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Canada for the resolution of any disputes.
