Automathing Group Inc. ("Automathing") is a technology consulting firm incorporated under the laws of Québec, Canada, with its principal place of business at 1835 Belvédère Sud #404, Sherbrooke, Québec. We provide software development, AI and machine learning consulting, tech strategy, process automation, cloud and DevOps, and systems integration services to businesses and entrepreneurs.

Our professional services are governed by a separate engagement letter or statement of work (“SOW”) entered into with each client. In the event of any conflict between these Terms and a duly executed SOW, the SOW shall prevail with respect to the subject matter therein.

Nothing on this Website constitutes an offer to provide services or a binding commitment on the part of Automathing.

5. Intellectual Property

5.1 Our Content

All content on our Website — including but not limited to text, graphics, logos, icons, images, audio clips, and software — is owned by or licensed to Automathing and is protected by the Copyright Act (Canada) and applicable international treaties. You may not reproduce, distribute, modify, transmit, reuse, repost, or use the content of our Website for public or commercial purposes without our express prior written consent.

5.2 Client Work Product

Ownership of deliverables, source code, and other work product developed for clients pursuant to an engagement is governed exclusively by the terms of the applicable SOW or client agreement.

5.3 Feedback

Any feedback, suggestions, or ideas you provide to us about our Website or services may be used by us without any obligation to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTOMATHING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).

The limitations above do not apply to liability arising from fraud, willful misconduct, or gross negligence on our part, or where exclusion is prohibited by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Automathing and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the Website; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you submit, post, or transmit through the Website.

11. Force Majeure

Automathing shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labour disputes, government action, or internet or telecommunications failures.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or their breach, termination, or invalidity, shall first be addressed through good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days of written notice from either party, the parties irrevocably submit to the exclusive jurisdiction of the courts of the Province of Québec, judicial district of Sherbrooke, for the resolution of the dispute.

14. Termination

We reserve the right to terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Website will cease immediately.

15. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Effective Date” at the top of this page. Your continued use of the Website after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any applicable SOW or client agreement, constitute the entire agreement between you and Automathing with respect to your use of the Website and supersede all prior and contemporaneous agreements, representations, and understandings.
