Nothing on this Website constitutes an offer to provide services or a binding commitment on the part of Automathing.

5.1 Our Content

All content on our Website — including but not limited to text, graphics, logos, icons, images, audio clips, and software — is owned by or licensed to Automathing and is protected by the Copyright Act (Canada) and applicable international treaties. 5.2 Client Work Product

Ownership of deliverables, source code, and other work product developed for clients pursuant to an engagement is governed exclusively by the terms of the applicable SOW or client agreement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTOMATHING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).

The limitations above do not apply to liability arising from fraud, willful misconduct, or gross negligence on our part, or where exclusion is prohibited by applicable law.

11. Force Majeure

Automathing shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labour disputes, government action, or internet or telecommunications failures.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or their breach, termination, or invalidity, shall first be addressed through good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days of written notice from either party, the parties irrevocably submit to the exclusive jurisdiction of the courts of the Province of Québec, judicial district of Sherbrooke, for the resolution of the dispute.

14. Termination

We reserve the right to terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Website will cease immediately.

15. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Effective Date” at the top of this page. These Terms, together with our Privacy Policy and any applicable SOW or client agreement, constitute the entire agreement between you and Automathing with respect to your use of the Website and supersede all prior and contemporaneous agreements, representations, and understandings.
